Terms & Conditions

Effective: May 1, 2026  ยท  12 Squared Technologies LLC

Please read these terms carefully before using CertTracker. By creating an account or using the service you agree to be bound by them. If you do not agree, do not use the service.

1. The Service

CertTracker is an SSL/TLS certificate monitoring platform operated by 12 Squared Technologies LLC ("12 Squared", "we", "us", "our"). The service monitors certificate expiration dates and changes, alerts you to upcoming expirations and unexpected changes, polls availability, and maintains a historical record of certificate activity for the domains and hosts you configure ("the Service").

2. Definitions

In these Terms: "you" and "your" refer to the individual or organization holding the CertTracker account. "Account" means the registered company tenant under which monitors, users, and billing live. "Subscription" means a paid plan associated with an Account. "Your Data" means the configuration and content you submit to the Service, including but not limited to hostnames, IP addresses, alert recipient information, tags, support ticket content, and any community contributions. "Authorized Users" means the individuals you grant access to your Account.

3. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding contract to create an Account. By creating an Account you represent that the registration information you provide is accurate and that you will keep it current. You are responsible for all activity that occurs under your Account, including activity by your Authorized Users. You agree to maintain reasonable security on your credentials and to notify us promptly at support@certtracker.12squared.com if you suspect unauthorized access. We may suspend or terminate Accounts that violate these Terms.

4. Free Trial

New Accounts may be eligible for a free trial of paid features for a limited period (currently 14 days). The trial does not require payment information up front. At the end of the trial the Account reverts to the free Personal tier unless you select and pay for a Subscription, after which paid-tier features remain available until you cancel. We may modify or discontinue trial offerings at any time without notice. Trials are limited to one per organization; abuse (multiple sign-ups to extend free use) may result in termination.

5. Subscriptions, Billing, and Auto-Renewal

Pricing and currency. Subscription pricing for each tier is displayed on our pricing page. All prices are in United States Dollars (USD). If your payment card is denominated in another currency, your issuing bank will convert the charge to your local currency at its applicable rate. Stripe (our payment processor) may charge a currency-conversion fee on cross-currency settlements which is reflected in our net receipts and does not change the amount you are charged.

Billing cadence. You select either a monthly or annual billing cadence at sign-up. Monthly Subscriptions are charged on the calendar day of each month corresponding to your initial subscription date; annual Subscriptions are charged once per year on that date.

Auto-renewal. All paid Subscriptions automatically renew at the end of each billing period at the then-current price for your tier, charged to the payment method on file, until you cancel. By providing payment information you authorize 12 Squared and our payment processor to charge these recurring fees. We will email a notice to your Account's primary contact at least seven (7) days before any annual renewal and any monthly renewal where the price has changed from the previous period.

Cancellation. You may cancel at any time from the Settings page or by emailing support@certtracker.12squared.com. Cancellation stops future renewals; your paid features remain available through the end of the period you have already paid for.

No refunds. Subscription fees are non-refundable. Cancelling mid-cycle does not entitle you to a refund of the unused portion. The exception is where applicable law (for example, certain consumer-protection statutes in your jurisdiction) requires a refund.

Failed payments. If a charge fails, the Account enters a grace period during which we will retry the charge and notify you. If payment is not received within a reasonable period (currently 14 days), the Account is moved to a dormant state in which monitors are paused and alerts are suppressed. Reactivating a dormant Account requires successful payment.

Pricing changes. We may change Subscription pricing on reasonable notice (at least 30 days for monthly plans, at least 60 days for annual plans). Changes take effect at your next renewal.

Taxes. Stated prices do not include taxes. You are responsible for any sales, use, VAT, or similar taxes applicable to your purchase, except taxes based on our net income.

6. Acceptable Use

You agree to use CertTracker only for lawful purposes and only to monitor hosts and domains you own or are explicitly authorized to monitor. You may not, and may not permit any Authorized User or third party to:

  • Probe, scan, or test the security of systems you do not own or have explicit written authorization to test;
  • Use the Service to distribute malware, conduct denial-of-service activity, or send unsolicited messages;
  • Circumvent, disable, or interfere with authentication, rate-limiting, billing, or other security controls;
  • Reverse engineer, decompile, or attempt to derive source code from the Service except to the extent expressly permitted by applicable law;
  • Scrape, mirror, or build a competing product from the Service's user interface, APIs, or content;
  • Resell or sublicense access to the Service except under a separate authorized reseller or MSP agreement with us;
  • Provide, resell, or operate CertTracker services to or on behalf of other parties under your own Account — every customer is expected to hold and maintain their own CertTracker Account, and sharing or reselling the Service under a single Account is prohibited;
  • Remove, obscure, alter, or replace CertTracker or 12 Squared Technologies LLC branding, logos, product names, notices, or attribution when reselling or otherwise providing the Service, including under an authorized reseller or MSP agreement;
  • Use the Service in a manner that violates any applicable law, regulation, or third-party right.

We may, at our discretion, limit polling frequency, monitor counts, or API request rates if we determine your usage is harming the Service or other customers, even where such usage is within your tier limits.

7. Your Data

What we collect. The Service stores the hostnames, ports, paths, IP addresses, certificate metadata, alert recipient contact information, tags, configuration choices, support correspondence, and similar inputs you provide. We collect operational logs (login events, polling results, audit records) necessary to provide and secure the Service.

What we do not collect. Certificate data is collected by our pollers via standard public TLS handshakes. Private keys, customer credentials, and on-host data are never transmitted to or stored by the Service.

Ownership. You retain all right, title, and interest in Your Data. By submitting Your Data you grant 12 Squared a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Data solely as necessary to provide and improve the Service, comply with law, and enforce these Terms.

Export and deletion. You may export your monitor configuration and history at any time from the Service. You may request deletion of Your Data at any time by emailing support@certtracker.12squared.com. We may retain backups, audit logs, and information required for legal, security, or accounting purposes for a reasonable period after deletion.

Privacy Policy. Our Privacy Policy describes in detail what we collect, why, who we share with (limited to subprocessors necessary to run the Service, such as our payment processor), and your rights including any applicable GDPR or CCPA rights. The Privacy Policy is incorporated into these Terms by reference.

8. Confidentiality

Each party may disclose to the other non-public business or technical information ("Confidential Information"). The receiving party will use Confidential Information only to perform under these Terms and will protect it using at least the same care it uses for its own confidential information of like sensitivity. This section does not apply to information that is public, was already known without restriction, is independently developed, or is required to be disclosed by law (with prompt notice to the other party where lawful).

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be unavailable during scheduled maintenance, infrastructure events, network conditions, security incidents, or circumstances beyond our reasonable control. We do not offer a service-level agreement (SLA), and we are not liable for missed certificate expiration alerts, missed change alerts, or any other consequence of Service unavailability. You are responsible for maintaining independent processes appropriate to the criticality of the certificates you monitor.

10. Intellectual Property

CertTracker, including the software, designs, documentation, branding, and all associated content not contributed by users, is owned by 12 Squared Technologies LLC and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your active Subscription, solely for your internal business purposes and in accordance with these Terms. All rights not expressly granted are reserved.

11. Feedback

If you submit suggestions, ideas, feature requests, or other feedback about the Service (including in the Community Forum, support tickets, or roadmap voting), you grant 12 Squared a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Service without restriction or compensation to you.

12. Beta Features

We may from time to time offer features labeled "beta", "preview", "early access", or similar. Beta features are provided as-is, may change or be withdrawn without notice, and may not perform at the same level of reliability as the rest of the Service. Beta features are excluded from any warranty (express or implied) and from any availability commitment.

13. Third-Party Services

The Service relies on third-party providers, including Stripe (payment processing) and our hosting and email infrastructure providers. We are not responsible for outages, errors, or actions of those providers beyond commercially reasonable diligence in selecting and monitoring them. Stripe's terms apply to payment transactions. Hyperlinks from the Service to external websites are provided for convenience; we do not endorse and are not responsible for their content.

14. Reseller and MSP Programs

If you participate in the CertTracker Reseller Program or MSP Program, the program-specific terms apply in addition to these Terms. Program terms are described in the in-product wiki and in any signed addendum. In the event of conflict between a signed program addendum and these Terms, the signed addendum controls for the subject matter it covers.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. USE OF THE SERVICE IS AT YOUR OWN RISK.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 12 SQUARED TECHNOLOGIES LLC, ITS AFFILIATES, AND ITS PERSONNEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND SURVIVE TERMINATION.

17. Indemnification

You will defend, indemnify, and hold harmless 12 Squared, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your or your Authorized Users' use of the Service in violation of these Terms or applicable law; (b) Your Data or the hosts and domains you monitor; or (c) your infringement or misappropriation of any third-party right. We will promptly notify you of any such claim and provide reasonable cooperation in its defense.

18. Termination

By you. You may cancel your Subscription or terminate your Account at any time from the Settings page or by emailing support@certtracker.12squared.com. Termination takes effect at the end of the current paid billing period (no proration; see Section 5).

By us. We may suspend or terminate your access immediately and without prior notice if we reasonably determine that you have materially breached these Terms (including the Acceptable Use section), if continued operation poses a security or legal risk, or for non-payment after the grace period in Section 5. For terminations not based on cause, we will provide reasonable notice (typically at least 30 days) by email to the Account's primary contact.

Violations. Any violation of these Terms, including the Acceptable Use restrictions in Section 6, may — at the sole discretion of 12 Squared Technologies LLC — result in immediate termination of the Service and forfeiture of any remaining paid subscription period, without refund or proration.

Effect of termination. Upon termination your Authorized Users will lose access to the Service. Your Data may be retained for up to 30 days before permanent deletion, during which you may request an export. Sections 7 (ownership and license to Your Data), 8 (Confidentiality), 10 (IP), 11 (Feedback), 15 (Warranty disclaimer), 16 (Liability), 17 (Indemnification), 21 (Governing Law), 22 (Disputes), and 25 (Miscellaneous) survive termination.

19. Force Majeure

Neither party is liable for any failure or delay caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war or terrorism, civil unrest, government action, labor disputes, internet or utility outages, third-party provider failures, or pandemic. The affected party will use reasonable efforts to mitigate the impact and resume performance.

20. Export and Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or party subject to United States embargo or sanctions, and that you will not use the Service in violation of any export control, sanctions, or anti-corruption law.

21. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Disputes

The parties will attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation before initiating any formal proceeding. Either party may initiate the informal-resolution process by sending written notice to the other identifying the dispute. If the dispute is not resolved within thirty (30) days, either party may commence proceedings. Subject to that informal-resolution requirement, the courts of the State of Washington have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction in those courts.

23. Changes to These Terms

We may update these Terms from time to time. We will notify Account holders of material changes by email to the Account's primary contact and by posting an updated effective date at the top of this page. Non-material changes (typos, clarifications, formatting) may be made without notice. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a material change, your remedy is to cancel your Subscription before the change takes effect.

24. Notices

Notices to you will be sent to the email address on file for the Account's primary contact and are deemed received when sent. You agree that electronic notice satisfies any legal requirement that a notice be in writing. Notices to us must be sent to support@certtracker.12squared.com or to the postal address in Section 26 and are effective upon our receipt.

25. Miscellaneous

Entire agreement. These Terms (together with the Privacy Policy, any signed addenda, and any program-specific terms you accept) constitute the entire agreement between you and 12 Squared regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements on the subject.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other. A waiver is effective only if it is in writing and signed by us.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force, and the unenforceable provision will be modified to the minimum extent needed to make it enforceable.

Assignment. You may not assign these Terms or your Account without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets, provided the successor assumes our obligations under these Terms.

Independent contractors. The parties are independent contractors. These Terms do not create any agency, partnership, joint venture, or employment relationship.

No third-party beneficiaries. Except as expressly stated, these Terms do not create any third-party beneficiary rights.

Headings. Section headings are for convenience only and do not affect interpretation.
